Welcome to Sortexs. By using our website or accessing any of Sortexs Services, you agree to abide by the following Terms & Conditions, as well as our Privacy Policy. If at any time you disagree with any or all of these Terms & Conditions, please refrain from using Sortexs services.
1. Overview of Services
Custom website design built entirely to your specifications with no restrictions. Hosted on enterprise-level infrastructure. Ongoing support and maintenance. Security and certain optional add-ons, such as a booking system or CRM tool, may also be included. Due to each project being unique, services delivered and fees will be identified in a separate proposal or service agreement.
2. Project Scope and Revisions
The scope of a project will be defined in writing before any work on that project begins. Any work that falls outside of that agreed-upon scope would be considered additional work and would be quoted and charged separately. Unless you have negotiated otherwise, each project will include the number of rounds of revisions outlined in your proposal. Additional revisions may incur additional fees.
3. Client Responsibilities
You will be accountable for providing us with all necessary feedback, content, materials, approvals and access in order to deliver the Services promptly. You are solely responsible for maintaining all quality and legal conformity in your Provided Material to ensure there is no infringement on any third-party rights. Delayed delivery as a result of your late or incomplete Provided Materials will result in an extended delivery period, but does not grant you any refund or fee reduction.
4. Payment Terms
Your fees, deposit amounts, and payment schedule will be shown in your signed proposal or invoice. A deposit may be required before the start of any work. Hosting, maintenance, and additional services are billed on an advanced recurring basis. If you do not make payment by the invoice date, we may suspend or discontinue your Services. All payments are subject to our Refund Policy, outlined in Section 10.
5. Hosting and Uptime
Our industry-leading infrastructure provides extremely reliable uptime levels. All uptime references are a goal, and not guaranteed. Potential influences on service uptime include scheduled maintenance, outages caused by third parties, weather-related issues qualifying as force majeure, or other unforeseen circumstances outside of our control.
6. Maintenance and Security
As part of your subscription, we provide continuous maintenance and security features to ensure your website remains current and safe. Although we take all reasonable precautions to protect your website, no system is entirely invulnerable. All responsibility lies with you to create backups of content critical to your business if backup services are not specifically part of your subscription.
7. Acceptable Use
You agree that use of our Services for storing, publishing, or transmitting illegal, infringing, damaging, fraudulent, or harmful content is prohibited. We reserve the right to suspend or terminate your Services without refund if you violate this section.
8. Intellectual Property
Once you have paid all amounts owed, you receive the final website content and design delivered to you, excluding any third-party items, stock assets, plug-ins, or open-source resources. We retain ownership of the underlying tools, processes, code libraries, and know-how used to deliver our Services. Unless requested otherwise, we may feature your completed website in our portfolio and for promotional purposes.
9. Third Party Services
Some of our services depend on or work with third parties such as hosting providers, domain registrars, and payment processors. We cannot be held responsible for their actions, inactions, outages, or policies. You should refer to their respective terms of use for further information.
10. Cancellation, Termination, and Refund
Any payments already made will have a refund window of 14 days. After the 14-day window is closed, all payments are irreversible and no refunds will be provided. For more information, please visit our Refund Policy. Regardless of when a cancellation is requested, your Services will remain active until the end of your current billing cycle. We reserve the right to suspend or terminate Service at any time if you violate these Terms, fail to make timely payments, or otherwise misuse the Service. If a Service is terminated, you remain responsible for any outstanding balance for Services rendered.
11. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be error-free or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by law, Sortexs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, data, or business arising from or related to the Services. The total liability of Sortexs for any claim shall not exceed the total amount paid to Sortexs for the applicable Service in the three-month period immediately preceding the claim.
13. Indemnification
You agree to protect and indemnify Sortexs against any and all claims, damages, losses, or expenses arising from any content you provide, your use of the Services, or any breach of these Terms by you.
14. Changes to These Terms
We may update these Terms periodically. Changes take effect from the date they are posted on our site. Continued use of the Services after any such changes constitutes your agreement to the updated Terms.
15. Governing Law
These Terms are governed by the laws of Virginia, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Fredericksburg, Virginia.
